CS Course Structure Overview 

A Company Secretary is regarded as a Key Managerial Personnel (KMP) as defined in the Companies Act, 2013. This means that under the law, a Company Secretary is no different from a Chief Executive Officer, Chief Financial Officer, or Managing Director about compliance and governance.

The CS programs are delineated into three major other sub categorized segments:

  • CS Executive Entrance Test (CSEET): Beginning phase of the course.
  • CS Executive Programme: The middle phase.
  • CS Professional Programme: The terminal phase.

During the course of their studies, in addition to the necessary training, candidates who wish to apply for the position of Company Secretary are eligible to receive the Company Secretary certification.

1. CS Executive Entrance Test (CSEET)

The CS course begins with the Company Secretary Entrance Examination, also known as CSEET. There is a common belief that only students from professional courses and postgraduates, along with graduates, are exempt from this requirement of CSEET.

Syllabus for the CSEET:

  • Business Communication: Corporate communication, grammar, and communication drafting.
  • Legal Aptitude and Logical Reasoning: Indian Constitution and the very basics of company law; some required logical reasoning; and legal vocabulary.
  • Economic and Business Environment:Micro & macroeconomics, and business entrepreneurship.
  • Current Affairs and Presentation Skills: GK, business current affairs, and a test with the presentation.
  • Exam Pattern: MCQ with viva, and a comma test.

2. CS Executive Programme

Students can register for the Executive Programme after passing the CSEET. It is comprised of two modules and eight papers total.

In Module 1, the learner will study:

  • Legal Theory and General Spine Laws
  • Company Law
  • Establishment and Dissolution of Business Organization
  • Tax Laws

In Module 2:

  • Corporate and Management Accounting
  • Capital Markets and Securities Regulations
  • Commercial, Business, and Economic Laws
  • Strategic and Financial Management

In this level, students will learn the fundamentals of company law, tax law, security law, and the principles of management.

3. CS Professional Programme

In this level, students learn advanced knowledge. This stage is termed the Professional Programme and has 3 modules and 9 papers, wherein some papers have electives.

Module 1:

  • Advanced Tax Laws
  • Governance, Risk Management, Compliance, & Ethics
  • Drafting, Pleadings and Appearances

Module 2:

  • Corporate Restructuring, Insolvency, Liquidation & Winding-up
  • Resolution of Corporate Disputes, Non-Compliances & Remedies
  • Secretarial Audit, Compliance Management, and Due Diligence

Module 3:

  • Case Studies Multi-disciplinary (Open Book Exam)
  • Elective (One of 8 subjects, e.g., Banking, Insurance, IPR, Labour Laws, etc.)
  • Corporate Funding & Listings in Stock Exchanges

Training & Practical Requirements:

In this course, the students should pay attention to the shifts in company law, tax rules, and the guidelines published by SEBI. This is because the syllabus covers the latest advancements in the laws of business relevant to them. 

  • Students are also required to complete the following training:
  • Practical Training (21 months) after EDP
  • Professional Development Programme (PDP)
  • Executive Development Programme (EDP)

Students get to have real corporate experience before qualifying as a CS due to the incorporation of these activities.
